1. Acceptance of Terms

1.1 By accessing or using LicenseDesk at licensedesk.ai (the "Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the Platform.

1.2 These terms apply to all users, including anonymous users, registered users, and subscribers.

2. Description of Service

2.1 LicenseDesk is an AI-powered research platform that provides information about Microsoft licensing programs.

2.2 The Platform:

(a) uses large language models (LLMs) to analyse and respond to licensing queries;

(b) retrieves and cites official Microsoft documentation as source material;

(c) provides confidence scoring and citation auditing for response quality; and

(d) offers optional expert review by qualified licensing professionals.

3. Important Disclaimers

3.1 Not Legal or Financial Advice. AI responses provided by LicenseDesk are for research and informational purposes only. They do not constitute legal advice, financial advice, compliance guidance, or professional consulting. You should not rely solely on LicenseDesk responses when making licensing decisions. We recommend consulting with a qualified Microsoft licensing professional or legal adviser for decisions that have material financial or compliance implications.

3.2 No Guarantee of Accuracy. While LicenseDesk employs citation auditing, confidence scoring, and expert review processes to maximise accuracy:

(a) AI-generated responses may contain errors, omissions, or outdated information;

(b) Microsoft licensing terms change frequently and the Platform may not reflect the most recent updates;

(c) citations point to Microsoft source documents but the AI's interpretation of those documents may be incorrect; and

(d) confidence scores are indicative, not definitive.

3.3 No Warranty. The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

4. User Accounts

4.1 Registration. Account creation is handled via Microsoft Entra External ID. By creating an account, you agree to provide accurate information and to keep your account credentials secure.

4.2 Account Tiers. LicenseDesk offers the following account tiers:

(a) Anonymous — limited queries without registration;

(b) Free — 15 queries per month with registration;

(c) Pro — enhanced query limits and features with a paid subscription;

(d) Pro Max — high-volume query limits and premium features; and

(e) Enterprise — custom plans for organisations.

4.3 Account Termination. We reserve the right to suspend or terminate accounts that violate these terms, engage in abuse of the Platform, or pose a security risk.

5. Acceptable Use

5.1 You agree not to:

(a) use the Platform for any unlawful purpose;

(b) attempt to reverse-engineer, scrape, or extract data from the Platform beyond normal use;

(c) submit queries designed to manipulate, exploit, or test the AI for purposes unrelated to Microsoft licensing research;

(d) share your account credentials with others (except within Enterprise multi-seat plans);

(e) use automated tools, bots, or scripts to access the Platform without prior written consent;

(f) misrepresent LicenseDesk responses as official Microsoft guidance; or

(g) redistribute or republish LicenseDesk responses commercially without permission.

6. Subscription and Payment

6.1 Billing. Paid subscriptions are billed through a third-party payment processor. By subscribing, you authorise recurring charges at the selected billing interval (monthly or annual).

6.2 Pricing Changes. We may change subscription pricing with 30 days' notice. Price changes do not affect your current billing period.

6.3 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

6.4 Refunds. Refunds are provided at our discretion. If you experience a material service disruption, contact support@licensedesk.ai.

7. Intellectual Property

7.1 Platform Content. The LicenseDesk platform, including its design, code, AI models, prompts, and proprietary algorithms, is owned by Krummel Pty Ltd (trading as LicenseDesk) and protected by applicable intellectual property laws.

7.2 Microsoft Content. LicenseDesk cites and references official Microsoft documentation. Microsoft product names, licensing program names, and documentation content are the property of Microsoft Corporation. LicenseDesk's use of this content is for informational reference purposes.

7.3 Your Content. You retain ownership of queries you submit and documents you upload. By using the Platform, you grant us a limited licence to process your content for the purpose of providing the service.

7.4 AI-Generated Responses. AI-generated responses are provided for your use. You may use them internally for research and decision-making. You may not commercially redistribute responses without permission.

8. Expert Reviews

8.1 Expert reviews are provided by qualified Microsoft licensing professionals. Expert reviews represent the professional opinion of the reviewer and are subject to the same disclaimers as AI-generated content — they do not constitute formal legal or compliance advice.

8.2 Expert review response times are indicative and vary by subscription tier. We do not guarantee specific response times.

9. Limitation of Liability

9.1 To the maximum extent permitted by law, LicenseDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

9.2 Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid for your subscription in the 12 months preceding the claim.

9.3 We are not liable for any licensing decisions made based on information provided by the Platform.

10. Indemnification

10.1 You agree to indemnify and hold harmless LicenseDesk, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

(a) your use of the Platform;

(b) your violation of these Terms; or

(c) your violation of any third-party rights.

11. Privacy

11.1 Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

12. Modifications to Terms

12.1 We may modify these Terms of Use at any time. Material changes will be communicated via the Platform or email.

12.2 Your continued use of the Platform after changes constitutes acceptance of the modified terms.

13. Governing Law

13.1 These Terms of Use are governed by and construed in accordance with the laws of the Australian Capital Territory, Australia.

13.2 Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of the Australian Capital Territory.

14. Severability

14.1 If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

15.1 These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and LicenseDesk regarding your use of the Platform.
